Sale with Right of Preemption

When a business sale occurs under a right of preemption (exercised by the State or a public entity), the agency fees are borne solely by the seller: 

• 6% excl. tax paid by the seller 

• 0% for the buyer

This avoids penalizing the preempting party, who did not freely choose the intermediary.
